1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the website textflows.com (the “Site”) operated by Textflow (“we”, “our”, or “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site.

We may update these Terms from time to time. Your continued use of the Site after we post changes constitutes your acceptance of the revised Terms. Please review Section 13 for how we notify you of material changes. If you are a consumer in the European Union or the United Kingdom, we will inform you of any material changes in a clear and timely manner, and your rights under applicable consumer protection law remain unaffected where required.

2. Description of Service

The Site provides free, browser-based text tools that allow you to process and transform text (e.g. removing duplicate lines, line breaks, or numbers; converting case; finding and replacing text; analyzing text statistics). These tools run locally in your browser. We do not require you to create an account or register to use the core features of the Site.

The Service is provided free of charge. We do not guarantee uninterrupted availability and may modify, suspend, or discontinue the Site or any tool at any time without prior notice, to the extent permitted by applicable law. Where we make material changes that negatively affect consumers in the EEA or UK, we will act in accordance with applicable consumer protection requirements.

3. User Accounts and Registration

You are not required to create an account or register to use the text tools on the Site. If in the future we offer optional registration (e.g. to save preferences or access additional features), the following will apply: you must provide accurate and complete information, keep your credentials secure, and you are responsible for all activity under your account. We reserve the right to suspend or terminate any account that violates these Terms or that we reasonably believe poses a risk to the Site or other users.

4. Acceptable Use / Prohibited Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms and applicable laws. You must not:

  • Use the Site in any way that violates any applicable national or international law or regulation.

  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, our systems, or any network or database connected to the Site.
  • Use any robot, spider, or other automated means to access the Site or collect data from the Site for purposes we have not expressly permitted.
  • Use the Site to distribute malware, viruses, or other harmful code, or to engage in any activity that could disable, overburden, or impair the Site or its infrastructure.
  • Use the Site in any manner that could infringe the intellectual property or other rights of third parties, or that is defamatory, obscene, or otherwise objectionable.

We reserve the right to investigate suspected violations and to cooperate with law enforcement. Failure to comply with this section may result in immediate termination of your access to the Site and may expose you to legal liability.

5. User-Generated Content

The text you paste or type into our tools is processed only in your browser and is not uploaded to our servers or stored by us. We do not collect, store, or have access to the content you enter into the text tools.

If you voluntarily send us content (e.g. by email or through a contact or feedback form), you grant us a non-exclusive, royalty-free, worldwide licence to use that content only for the purpose of responding to your request, improving our services, or as otherwise necessary to operate our business. You represent that you have the right to provide such content and that it does not violate any third-party rights or applicable law. We do not claim ownership of your personal data; our use of personal data is governed by our Privacy Policy.

6. Intellectual Property

The Site and its content (including but not limited to text, graphics, logos, layout, and software) are owned by Textflow or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from the Site or its content without our prior written consent, except that you may view and use the Site for your personal, non-commercial use in accordance with these Terms.

Nothing in these Terms grants you any right to use our trade names, trademarks, or logos. If you believe that content on the Site infringes your intellectual property rights, please contact us with sufficient detail so that we can investigate and respond appropriately.

7. Payment and Subscription

Currently, the Site and its text tools are offered free of charge. We do not collect payment information or offer paid subscriptions. If we introduce paid features, subscriptions, or other commercial offerings in the future, we will update these Terms and provide clear information about pricing, billing, cancellation, and refunds. For consumers in the European Union and the United Kingdom, any such terms will comply with applicable rules on consumer contracts, including where relevant the right of withdrawal for distance and off-premises contracts, and we will provide the information required by the Consumer Rights Directive and national implementing laws.

8. Disclaimer

The Site and all content and tools are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we disclaim all warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of results.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. You use the Site at your own risk. No advice or information, whether oral or written, obtained by you from us or through the Site will create any warranty not expressly stated in these Terms.

Consumers in the EEA and UK: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law. Your statutory rights as a consumer remain unaffected.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Textflow and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising out of or in connection with your use of the Site, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising out of or related to the Site or these Terms exceed the amount you have paid to us in the twelve (12) months preceding the claim, or, if you have paid nothing, one hundred euros (€100) or the equivalent in local currency.

Consumers in the EEA and UK: The above limitations apply only to the extent permitted by law. We do not limit our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. Where you use the Site for purposes outside your trade, business, craft, or profession, mandatory consumer protection laws of your country may provide you with additional rights.

10. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Textflow and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content you submit or transmit through the Site (including via contact or feedback channels).

Consumers in the EEA and UK: This indemnification obligation does not apply to the extent that the claim, damage, or loss is caused by our breach of these Terms or our negligence, or where applicable consumer law does not permit such an obligation.

11. Termination

You may stop using the Site at any time. We may suspend or terminate your access to the Site, or discontinue the Site or any part of it, at any time, with or without cause or notice, to the extent permitted by applicable law.

Upon termination, your right to use the Site ceases immediately. Sections that by their nature should survive termination (including Sections 6 (Intellectual Property), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law and Jurisdiction), and 14 (Contact)) will survive.

Consumers in the EEA and UK: Where you have paid for a service and we terminate without cause, we will comply with applicable refund and notice requirements under consumer protection law. We do not currently offer paid services; this will apply if we introduce them in the future.

12. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Site shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

For users in the European Union and the United Kingdom: If you are a consumer habitually resident in the EEA or the UK, you benefit from the mandatory consumer protection provisions of the law of your country of residence. Nothing in these Terms affects your right to bring legal proceedings in the courts of your country of residence, or to rely on mandatory consumer protection laws that cannot be derogated from by contract. We may bring proceedings against you only in the courts of your country of residence. For non-consumer users in the EEA or UK, the courts of England and Wales shall have non-exclusive jurisdiction.

For users in the United States: Any legal action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts. Nothing in these Terms waives your right to a jury trial where applicable.

If you are located in another jurisdiction, you may have additional rights under your local law. We encourage you to contact us if you have questions about how these Terms apply to you.

13. Changes to the Terms

We may revise these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. If we make material changes that affect your rights or obligations, we will provide additional notice where reasonably possible (e.g. a notice on the Site or by email if we have your contact details).

Your continued use of the Site after the effective date of revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

Consumers in the EEA and UK: Where we make material changes to these Terms, we will give you clear and timely notice. You may have the right to reject changes and terminate the contract in accordance with applicable consumer law. Your statutory rights remain unaffected.
